Under and by virtue of the power of sale in that certain Deed to Secure Debt and Security Agreement (the Security Deed) from Goldens Foundry & Machine Company, a Georgia corporation (the Borrower), in favor of Columbus Bank and Trust Company, a Georgia banking corporation (the Lender), dated as of November 30, 2006, recorded in Deed Book 735, page 271, in the records of the Clerk of the Superior Court of Crisp County, said Security Deed having been given to secure a loan in the original principal amount of $3,500,000 together with additional indebtedness evidenced by that certain Promissory Note, dated February 29, 2008 in the principal amount of $4,031,743.00, that certain Revolving Line of Credit Note, dated February 29, 2008 with a balance of $3,599,197.26, that certain Promissory Note, dated March 28, 2007 in the principal amount of $1,270,000.00 (those certain promissory notes and additional loan documents, hereinafter referred to as the Notes), and to secure any and all other indebtedness then or thereafter owing between the parties, with interest from the date thereof at the rate specified therein on the unpaid balance until paid, there will be sold by the undersigned (hereinafter referred to as Lender) at public outcry, during the legal hours of sale before the door of the courthouse of Crisp County, Georgia, on the first Tuesday in December, 2009, to the highest and best bidder for cash, the following described land (the Land) and the buildings, structures, fixtures and other improvements located thereon (the Improvements):
A tract or parcel of land containing 28.278 acres, lying and being in Land Lot 56 of the 11th Land District of Crisp County, Georgia, being all of parcel denominated as Parcel A (Less and Except Sub Parcel 1 of Parcel A) on a plat of survey by J. B. Faircloth, Georgia Registered Surveyor No. 2120, dated June 16, 2000, recorded in Plat Slide 40-G in the Office of the Clerk of Superior Court of Crisp County, Georgia. Such plat reference is incorporated into this description for the purpose of a more complete description. SUBJECT TO rights in favor of the Municipal Electric Authority of Georgia for electric transmission line easement as to .677 acres as shown on said plat, and SUBJECT TO the right of way for George Matthews drive per above plat and as referenced in Warranty Deed recorded at Deed Book 449, page 83 on August 7, 2000, Crisp County, Georgia records. Said easement is for the purposes of installing, re-installing, repairing and maintaining a railroad spur track. (1) all buildings, structures, and other improvements now or hereafter located on said property, or any part and parcel thereof; and

(4) all fittings and fixtures, whether actually or constructively attached to said property and including all attached machinery, equipment, apparatus, and all trade, domestic, and ornamental fixtures, appliances, and articles of personal property of every kind and nature whatsoever, now or hereafter located in, upon, or under said property or any part thereof and used or usable in connection with any present or future operation of said property and now owned or hereafter acquired by Borrower (hereinafter collectively called Equipment) including, but without limiting the generality of the foregoing, all heating, air conditioning, freezing, lighting, laundry, cooking, incinerating, and power equipment; engines; pipes; pumps; tanks; motors; conduits; switchboards; plumbing, lifting, cleaning, fire prevention, fire extinguishing, refriger?ating, ventilating, and communications apparatus; boilers, ranges, furnaces, oil burners, or units thereof; appliances; air-cooling and air conditioning apparatus; vacuum cleaning systems; elevators; escalators; shades; awnings; screens; storm doors and windows; stoves; wall beds; refrigerators; dishwashers; attached cabinets; partitions; ducts and compressors; rugs and carpets; mirrors; mantles; draperies; furniture and furnishings; all building materials, supplies, and equipment now or hereafter delivered to said property and intended to be installed therein; all additions to and renewals or replacements of all of the foregoing; and all proceeds and profits of all of the foregoing; and
(5) any, and all rents which are now due or may hereafter become due by reason of the renting or leasing of the property, the improvements thereon, and Equipment; and
(6) any and all awards or payments, including interest thereon, and the right to receive the same, as a result of (a) the exercise of the right of eminent domain; (b) the alteration of the grade of any street, or (c) any other injury to, taking of or decrease in the value of the property; to the extent of all amounts which may be secured by this deed at the date of receipt of any such award or payment by Lender and of the reasonable attorneys fees, costs, and disbursements incurred by Lender in connection with the collection of such award or payment.
All of the indebtedness secured by the Security Deed has matured and remains unpaid. The indebtedness remaining in default, the sale will be made for the purpose of applying proceeds thereof to the payment of the indebtedness secured by the Security Deed, accrued interest and expenses of the sale and other sums secured by the Security Deed, including attorneys fees, and the remainder, if any, shall be applied as provided by law.
The security interest created by the Security Deed in and to the personal property is further evidenced by Uniform Commercial Code Financing Statement filed on December 1, 2006, recorded in Deed Book 735, page 281, Crisp County Records, and Uniform Commercial Code Financing Statement filed on December 1, 2006 No. 040-2006-1417, aforesaid records.
The Property will be sold on an as is, where is basis without recourse against Lender and without representation or warranty of any kind or nature whatsoever with respect thereto. The indebtedness secured by said Security Deed has been and is hereby declared due because of default under the terms of said Security Deed and Note, including but not limited to the nonpayment of the indebtedness as and when due. The indebtedness remaining in default, this sale will be made for the purpose of paying the same, all expenses of the sale, including attorneys fees and all other payments provided for under the terms of the Security Deed and Note.
Said property will be sold subject to the following items which may effect the title of said property; zoning ordinances, matters which would be disclosed by an accurate survey or by an inspection of the property; any outstanding taxes, including but not limited to ad valorem taxes, which constitute liens upon said property; special assessments; all outstanding bills for public utilities which constitute liens upon said property; all restrictive covenants, easements, rights-of-way and any other matters of record superior to said Security Deed.
